Terms and conditions for using Whitespace

1. Agreement to Terms

By accessing or using Whitespace ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you are entering into these Terms on behalf of a school or other entity, you represent that you have the authority to bind such entity to these Terms.

2. Educational Use Only

Whitespace is designed exclusively for educational purposes within K-12 schools. The platform must only be used for:

  • Curriculum-aligned learning activities
  • Teacher-supervised educational tasks
  • Safe, age-appropriate educational interactions
  • School-authorised educational content

3. User Accounts & Responsibilities

School Administrators

  • Ensure appropriate parental consent is obtained for all students
  • Manage teacher and student accounts responsibly
  • Monitor and respond to safeguarding alerts promptly
  • Maintain accurate school and user information
  • Comply with all applicable UK educational regulations
  • Designate appropriate safeguarding leads

Teachers

  • Supervise student use of the platform
  • Respond immediately to safety alerts and concerns
  • Create appropriate, curriculum-aligned content
  • Maintain professional standards at all times
  • Report safeguarding concerns per school policy
  • Ensure student interactions remain educational

Students

  • Use the platform respectfully and for learning only
  • Follow school rules and teacher instructions
  • Report any concerns to teachers immediately
  • Keep login credentials confidential
  • Respect other users' privacy and safety

4. Safety and Safeguarding

We implement comprehensive safety measures including:

  • Automated content filtering for inappropriate material
  • Real-time monitoring for safeguarding concerns
  • Immediate alerts to teachers for safety issues
  • Compliance with Keeping Children Safe in Education (KCSIE) and Product Safety Expectations
  • Age-appropriate content controls
  • Audit trails for all interactions

Schools acknowledge that whilst we employ robust safety measures, schools maintain primary responsibility for student safeguarding and must respond appropriately to all alerts.

5. Prohibited Conduct

The following activities are strictly prohibited:

  • Attempting to bypass or disable safety features
  • Sharing inappropriate, harmful, or illegal content
  • Bullying, harassment, or threatening behaviour
  • Impersonating others or creating false identities
  • Commercial or non-educational use
  • Accessing or attempting to access others' accounts
  • Using the service for any unlawful purpose
  • Sharing personal information beyond what schools provide

6. Content and Intellectual Property

Ownership

  • Teacher Content: Remains property of the teacher/school
  • Student Work: Owned per school's intellectual property policy
  • Platform Technology: Remains property of Whitespace
  • Educational Resources: Licensed for use within subscribing schools

Licence Grant

Schools grant us a limited licence to use content solely to provide and improve the Service.

7. Data Protection and Privacy

Our data practices are governed by our Privacy Policy. Key commitments:

  • Full compliance with UK GDPR and Data Protection Act 2018
  • Student data never sold or used for advertising
  • Data stored securely in UK data centres
  • Strict access controls and encryption
  • Right to deletion upon request

8. Service Availability

  • Target Uptime: 99.9% during UK school hours
  • Maintenance: Scheduled outside peak educational times
  • Support: Available during school hours via email and phone
  • Updates: Regular improvements with minimal disruption

We are not liable for any loss of learning time due to service unavailability.

9. Fees and Payment

  • Subscription: Annual or termly as agreed
  • Payment Terms: Net 30 days from invoice
  • Price Changes: 90 days' notice for increases
  • Refunds: Pro-rata for unused periods upon termination

10. Term and Termination

Duration

These Terms remain effective until terminated by either party.

Termination by School

Schools may terminate with 30 days' written notice.

Termination by Whitespace

We may suspend or terminate immediately for:

  • Breach of these Terms
  • Safety or safeguarding concerns
  • Non-payment of fees
  • Legal or regulatory requirements

Effect of Termination

  • Access ceases immediately
  • Data available for export for 30 days
  • All data permanently deleted after 30 days
  • Fees paid are non-refundable except as required by law

11. Disclaimers and Limitations

Disclaimers

The Service is provided "as is" and "as available". We disclaim all warranties, express or implied, including merchantability and fitness for purpose.

Limitation of Liability

To the maximum extent permitted by law:

  • We are not liable for indirect, incidental, or consequential damages
  • Our total liability is limited to fees paid in the preceding 12 months
  • These limitations do not apply to death or personal injury caused by negligence

12. Indemnification

Schools agree to indemnify us against claims arising from:

  • School's breach of these Terms
  • Violation of applicable laws or regulations
  • Infringement of third-party rights
  • User content posted through school accounts

13. Governing Law

These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

14. Changes to Terms

We may modify these Terms with 30 days' notice for non-material changes and 90 days' notice for material changes. Continued use constitutes acceptance.
